Matco Foods Limited has announced plans to transfer a key business unit, including its Falak basmati rice operations, to its wholly owned subsidiary, Falak Foods Limited, as part of an internal restructuring move.
According to a notice submitted to the Pakistan Stock Exchange, the company’s board approved the decision on April 20, 2026, allowing shareholders to subscribe to a rights issue that will be used by Falak Foods Limited to fund the acquisition. The structure enables Matco Foods to retain full ownership of the subsidiary while reorganizing its operational assets.
The transaction involves the sale of immovable property measuring 37.47 acres, equivalent to 27.76 kanals, located in Tehsil Kamoki, District Gujranwala. The transfer also includes the complete business unit with buildings, plant, machinery, and installed equipment tied to the Falak brand operations.
The consideration for the transaction will be paid by Falak Foods Limited after it raises funds through the rights issue. Following the completion of the deal, Matco Foods will continue to hold 100 percent shareholding in the subsidiary, ensuring no dilution of control.
