Pakistan Telecommunication Company Limited (PTCL) has formally submitted an application to the Pakistan Telecommunication Authority (PTA) seeking approval for the merger of Telenor Pakistan and Ufone, according to official sources.
The submission places the proposed merger under PTA’s formal regulatory review process.
Sources said the PTA is expected to complete its assessment within one and a half to two months. As part of the review, the authority will examine the proposed business plan, network infrastructure, tower assets, spectrum holdings, and other operational elements to assess the merger’s impact on market competition, spectrum concentration, and consumer interests.
Once PTA approval is obtained, the transaction will be forwarded to the Securities and Exchange Commission of Pakistan (SECP) for corporate and financial clearance. The final step will require court approval of the Scheme of Arrangement, which is a mandatory legal requirement to complete the merger. The full regulatory and legal process is expected to take approximately five to six months.
The proposed merger follows the PTCL Group’s recent acquisition of Telenor Pakistan and Orion. The consolidation is intended to strengthen PTCL’s mobile business by combining Telenor Pakistan’s operations with Ufone’s existing network and customer base.
Industry experts say the merger could result in operational efficiencies, broader network coverage, and improved service offerings. However, it is also expected to reshape competitive dynamics within Pakistan’s telecom sector.
