PTA Gives Conditional Approval for Telenor Pakistan to Merge With Ufone

Pakistan’s telecom sector is on the verge of a major transformation after the Pakistan Telecommunication Authority (PTA) issued a conditional No Objection Certificate (NOC) for the merger of Telenor Pakistan into Pak Telecom Mobile Limited (PTML).

Earlier, the PTA had sought unconditional consent from both operators, which they provided. Following this, the authority granted approval with specific conditions, marking a critical step toward industry consolidation.

The issuance of the NOC formally allows the merger process to proceed, subject to compliance with defined terms. This approval facilitates the transfer of telecom licenses and the integration of operations between the two entities. The development was also disclosed to the Pakistan Stock Exchange, ensuring transparency and adherence to regulatory requirements.

The merger will be executed through a “scheme of arrangement,” a structured legal mechanism commonly used in corporate consolidations. This process ensures that all regulatory, legal, and financial obligations are met while protecting the interests of stakeholders, including customers, employees, and investors. The PTA had earlier granted in-principle approval in March 2026, and the latest NOC formalizes the next phase of implementation.

This merger reflects a broader trend of consolidation within Pakistan’s telecom sector. By integrating Telenor Pakistan’s operations into PTML, Pakistan Telecommunication Company Limited (PTCL) is expected to strengthen its market position. The move may improve efficiency through better utilization of infrastructure, spectrum, and operational resources, though reduced competition could affect pricing, service quality, and consumer choice over time.

The completion of the merger now depends on the successful execution of the legal and operational steps outlined in the scheme of arrangement. PTCL has stated that it will continue to update stakeholders as the process progresses in line with regulatory obligations.

The conditional approval by the PTA represents a decisive development, and the outcome of this merger is likely to shape the future of mobile services in Pakistan.
